Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the UrbanNest Rentals website and services (the "Service"), operated by UrbanNest Rentals ("UrbanNest," "we," "us," or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. We may modify these Terms at any time, and such modifications shall be effective immediately upon posting the modified Terms on the Service. You agree to review the Terms periodically to be aware of such modifications, and your continued access or use of the Service shall be deemed your conclusive acceptance of the modified Terms.

2. Description of Service

UrbanNest provides an online platform that connects prospective tenants with property owners and managers ("Property Providers"). Our services include, but are not limited to, searchable property listings, a digital rental application system, communication tools, and resources for renters. UrbanNest is not a real estate broker, agent, or insurer. We do not own, manage, or lease any of the properties listed on our Service. All rental agreements are entered into directly between the tenant and the Property Provider.

3. User Accounts

  1. Account Creation: To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  2. Account Responsibility: You are responsible for safeguarding your password and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
  3. Account Termination: We reserve the right to suspend or terminate your account at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

4. User Conduct and Responsibilities

You agree not to use the Service for any unlawful purpose or in any way that might harm, damage, or disparage any other party. Without limiting the preceding sentence, you agree that you will not, whether through the Service or otherwise:

  • Submit any false or misleading information, including in a rental application.
  • Infringe on the intellectual property rights of UrbanNest or any third party.
  • Harass, stalk, or otherwise abuse another user.
  • Use the Service to distribute spam, chain letters, or other unsolicited communications.
  • Attempt to gain unauthorized access to our computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Service.
  • Use any automated system, including "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional on-line web browser.

5. Listings and Content

While UrbanNest implements a verification process for listings ("Verified Listings"), we do not guarantee the accuracy, completeness, or timeliness of any information on the Service provided by Property Providers. You are responsible for conducting your own due diligence before entering into any rental agreement. We are not responsible for any disputes that arise between you and a Property Provider.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of UrbanNest Rentals and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of UrbanNest Rentals.

7. Disclaimers

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

URBANNEST, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

8. Limitation of Liability

IN NO EVENT SHALL URBANNEST, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You agree to defend, indemnify, and hold harmless UrbanNest and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
